Advisor to Asian Apparel Manufacturing Group

Our team advised a leading apparel manufacturing group and raised growth capital from a pan-Asian private equity with about USD 1.2 billion of assets under management. We advised them on a complex first-of-its-kind restructuring which involved a long drawn complicated court process, parking the group under a Singapore holdco, allowing it to raise equity and debt capital efficiently and easily.

Our client (the “Company”) is a Singapore headquartered apparel manufacturing group with operations in the United Kingdom and Bangladesh, serving top global fashion high-street brands. The Company designs, manufactures and distributes knitwear, lingerie, and shirts globally to its customers.

The Company which originated from Bangladesh faced a problem because of the high cost of debt in Bangladesh and the lack of private equity interest to invest into Bangladesh (due to capital control regulation in Bangladesh). We advised them on a complex first-of-its-kind restructuring using the private equity’s capital to create a structure (which involved a long drawn complicated court process) which allowed the group to be owned under a Singapore holdco, allowing it to raise equity and debt capital efficiently and easily.

The capital raised also allowed the Company to significantly expand its operations in Bangladesh and increase it capacity and develop an innovation center to develop new products.

Our team served as the advisor to the Company and assisted in initiating, marketing, structuring, and negotiating the transaction, achieving a successful restructuring and capital raise. This deal shows our team’s ability to create innovative solutions to meet our client’s needs.
